Terms of use
Translation provided for information only; the French version prevails. This document must be reviewed by a lawyer before launch. No legal review has been recorded yet.
These terms govern access to and use of the ShotEvents platform by every visitor, attendee or organizer. The purchase of tickets is also governed by the terms of sale.
1.Purpose and acceptance
These terms of use (the “Terms”) set out the rules for accessing and using the ShotEvents ticketing platform (the “Platform”), published by HDN BUILDING LTD (“ShotEvents”, “we”). You accept them when you create an account or place your first order, and they apply to anyone who browses the Platform. They are written in French, which is the authoritative language; translations are provided for information only.
2.Definitions
- User: anyone who accesses the Platform.
- Attendee: a User who buys or holds a ticket.
- Organizer: an individual or legal entity that offers an event and sells tickets through the Platform.
- Event: a concert, party, show, festival, workshop or any other occasion offered by an Organizer.
- Ticket: an electronic admission document for an event, identified by a personal QR code.
3.Role of ShotEvents
ShotEvents provides tools for publishing events and for selling, paying for, issuing and checking tickets, and acts as the Organizers' agent for the sale (see the terms of sale). ShotEvents is not the organizer of the events unless expressly stated. The Organizer is solely responsible for its event: description, safety, permits, welcoming the audience, cancellation or postponement. ShotEvents does not guarantee that an event will take place or what its quality will be.
4.User account
- Creating an account is free. It requires a valid email address, which you must confirm.
- You must be at least 15 years old to create an account. Below that age, the account is created and used with the consent of a holder of parental authority. [to be verified: BY THE LAWYER: how this consent is collected, or a ban on accounts below the age of 15] Some events set a minimum age (for example 18), which is checked at the entrance.
- The information you provide must be accurate and kept up to date. An account is personal and may not be transferred.
- You are responsible for keeping your password confidential and for how your account is used. Tell us without delay if it is used without your authorization.
You can delete your account at any time from your account area or by writing to us. The data we keep for legal reasons is described in the privacy policy.
5.User commitments
You agree to use the Platform fairly and, in particular, not to:
- provide false information or impersonate a person or an organization;
- buy tickets by automated means (bots) or by circumventing quantity limits;
- resell tickets on a habitual basis without the organizer's authorization, which is a criminal offence (Article 313-6-2 of the French Criminal Code), or sell a ticket that you no longer hold;
- copy, forge or duplicate a ticket or a QR code;
- compromise the security of the Platform, attempt to access data not intended for you, or extract content on a large scale;
- publish content that is unlawful, hateful, misleading or that infringes the rights of others.
6.Provisions applicable to organizers
An Organizer who publishes an event declares and agrees to:
- be identified: provide its name or company name, address, email, telephone number, proof of identity, payment details and registration number (trade register, trades directory or association number) if it has one, and certify that the events offered comply with applicable law;
- state its status as a business or a non-business;
- hold its authorizations: for live performances, its receipt of declaration as a live performance entrepreneur (Articles L. 7122-1 et seq. of the French Labor Code), valid for five years, the number of which it provides, or its exemption status (no more than six performances a year, no main activity in live performance, or a group of unpaid amateurs); the authorization for the venue and the compliance of the premises; insurance; copyright and neighboring rights; public safety;
- provide accurate and complete information: date, venue, prices, minimum age, accessibility, cancellation and refund terms;
- hold the rights to the texts, images and trademarks published, and indemnify ShotEvents against any third-party claim in this respect;
- comply with its obligations as a seller: pre-contractual information, invoicing, VAT and other tax obligations, delivery of the services advertised;
- inform attendees and ShotEvents without delay of any cancellation, postponement or major change, and fund the refunds due, including by set-off against the sums owed to it;
- activate official resale only knowingly: activating it constitutes written authorization to resell tickets for the event, up to the price cap it sets (no more than 100% of the face value, excluding fees);
- use attendees' data only to organize the event, in compliance with the GDPR, and not use it for marketing purposes without consent; it is a joint controller with ShotEvents for the sale and access control (see the privacy policy); tracking pixels may be installed on its pages only after the visitor has given consent.
Ticket sales are activated after the Organizer's identity and the receipt number have been checked against the public list, and a payment account has been opened with our payment provider. The applicable service fees are communicated to the Organizer before activation and accepted by the Organizer. ShotEvents may refuse, suspend or withdraw an event that does not comply with these terms or with the law, in particular where the information provided is inaccurate or out of date.
7.Published content
You keep your rights in the content you publish. You grant ShotEvents a non-exclusive, worldwide, royalty-free license, for as long as the content is published, to host, reproduce, machine-translate and display it on the Platform and in communications relating to the event (emails, sharing on social networks, search results). Event texts may be sent to our machine translation providers (see the privacy policy): do not include third parties' personal data in them (telephone numbers, personal email addresses). The translation is automatic and indicative; the original prevails.
8.Reporting and moderation
Any content or event can be reported through the contact form or the report button on the event page. ShotEvents reviews reports diligently and may, in a proportionate manner, request supporting documents, suspend sales, remove content or close an account. Any restrictive decision (removal, suspension, closure) is notified with its reasons and the means of redress: you can challenge the decision in writing at the contact address within six months and obtain a reasoned reply.
9.Intellectual property
The Platform, its brand, its interface and its code remain the property of ShotEvents. No rights are transferred to users beyond the personal, non-exclusive right to use the service in accordance with the Terms.
10.Availability of the service
We do our best to provide continuous access to the Platform but cannot guarantee it: maintenance, a failure or an event beyond our control may interrupt it. In the event of an interruption, we give priority to preserving your orders and your tickets.
11.Liability
ShotEvents is liable for failures to perform its own obligations, within the limits permitted by law. ShotEvents is not responsible for the events themselves, for their cancellation or for how they are run, or for content supplied by organizers, except where it is at fault or where the law provides otherwise. Nothing in these Terms limits the rights that the law grants to consumers, or the liability of ShotEvents in cases of fraud, gross negligence or personal injury.
12.Personal data
The processing of personal data is described in the privacy policy and the cookie policy.
13.Suspension and closure of an account
In the event of a serious or repeated breach of the Terms, proven fraud or a request from an authority, ShotEvents may suspend or close an account, after informing the user where possible, stating the reason and how to challenge the decision (section 8). Tickets validly purchased remain valid, except in cases of fraud, or are refunded in accordance with the refund policy.
14.Changes to the Terms
We may amend the Terms, in particular to reflect legal or technical developments. The applicable version is the one online on the date you use the Platform. For significant changes, you will be informed by a notice on the Platform or by email at least fifteen days before they take effect (a period to be extended for professional organizers according to their terms).
15.Governing law and disputes
The Terms are governed by French law. In the event of a dispute, please contact us first through the contact form. Consumers may use a mediator free of charge (contact details in the legal notice) and bring proceedings before the competent courts in accordance with the statutory rules. Between businesses, failing an amicable settlement, the competent courts for the area where the publisher's registered office is located shall have sole jurisdiction. [to be verified: BY THE LAWYER: jurisdiction clause between businesses; notice period for professional organizers]
